Terms of Service

These Terms of Service ("Terms") govern your access to and use of Shareholder Pass (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Use a strong unique password and notify us immediately if you suspect unauthorized access. One person, one account: do not share credentials.

3. Verified Shareholder status

The Service offers a "Verified Shareholder" status that depends on your linked brokerage holdings as confirmed via Plaid. We rely on the data Plaid returns from your brokerage; we don't independently audit it. Your status may change as your holdings change, including loss of verified status if you no longer hold the relevant security at the time of re-verification. Nothing on the Service constitutes investment, tax, or legal advice. Engagement features (Q&A, polls, rewards) are informational and do not create a fiduciary or advisory relationship.

4. Rewards and offers

Companies may offer rewards on their pass. Rewards are provided by the issuing company, subject to that company's terms. Shareholder Pass is not the issuer of rewards and makes no warranty regarding their availability, value, or fulfillment. We may modify or remove a reward at any time at the issuing company's request or for compliance reasons.

5. Acceptable use

You agree not to:

  • Submit false or misleading verification information.
  • Create multiple accounts to circumvent reward limits or eligibility gates.
  • Post unlawful, harassing, defamatory, or infringing content; attempt to reverse-engineer or disrupt the Service; scrape data without written permission.
  • Use the Service to make investment decisions for others or represent yourself as a financial advisor based on Service content.

6. Content ownership and license

You retain ownership of content you post (questions, poll responses, etc.). By posting, you grant Shareholder Pass a non-exclusive, royalty-free license to host, display, and distribute that content within the Service for the purpose of operating the Service. Companies you've joined may see and respond to your content as part of their pass administration.

7. Termination

You may delete your account at any time by emailing us. We may suspend or terminate your access if you violate these Terms, create risk for the Service, or fail to comply with applicable law. Sections that by their nature should survive termination (intellectual property, disclaimers, limitations of liability) will survive.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT VERIFICATION RESULTS WILL BE ACCURATE; OR THAT REWARDS WILL BE FULFILLED. NOTHING ON THE SERVICE IS INVESTMENT, TAX, OR LEGAL ADVICE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAREHOLDER PASS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS (USD $100), OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Shareholder Pass and its operators from any claim or demand arising out of your violation of these Terms, your use of the Service, or your violation of any third-party right.

11. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any dispute will be resolved in the state or federal courts located in New York County, New York, except that we may seek injunctive relief in any court of competent jurisdiction.

12. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of the Service after a change constitutes acceptance of the updated Terms.
